KNOCKOUT BOXING CLUB LLC
PARTICIPANT AGREEMENT, ASSUMPTION OF RISK, AND LIABILITY WAIVER (OREGON)

Electronic Agreement and Signature
By tapping "Agree and Continue" in the Mindbody app, website, or Knockout Boxing Club’s app or website, I enter a binding agreement with Knockout Boxing Club LLC and consent to transact electronically. I understand my tap or click is my electronic signature under the federal ESIGN Act and Oregon’s Uniform Electronic Transactions Act, and has the same legal effect as a handwritten signature. If I am signing for a minor, I confirm I am the parent or legal guardian and I accept all terms on the minor’s behalf to the maximum extent allowed by law.

Parties and Scope
This agreement is between the undersigned participant, or the undersigned parent or legal guardian on behalf of a minor participant, and Knockout Boxing Club LLC, including its owners, members, officers, employees, contractors, volunteers, agents, landlords, equipment suppliers, event partners, and insurers (the "Released Parties"). It covers all activities on or off premises offered or hosted by Knockout Boxing Club, including but not limited to boxing, mitt work, bag work, strength and conditioning, HIIT, yoga, mobility, classes, open gym, private training, workshops, events, and any related travel or social activities.

Health Disclosure and Participation Rules
I affirm that I am physically and mentally able to engage in vigorous physical activity, including contact activities, and that I will consult a physician before participating if I have any doubt. I will follow all posted rules and staff instructions, wear required protective gear, use only equipment I understand, and stop immediately and report any injury, symptom, or unsafe condition. I agree to maintain my own health and accident insurance and understand I am solely responsible for my medical costs. Health disclosures will be handled confidentially per our privacy policy and applicable laws. I understand Knockout Boxing Club is not a medical provider and that staff do not diagnose, treat, or provide medical advice.

Acknowledgment of Risks
I UNDERSTAND AND ACKNOWLEDGE THAT BOXING AND FITNESS ACTIVITIES INVOLVE BOTH INHERENT AND UNFORESEEABLE RISKS THAT CAN CAUSE SERIOUS INJURY, PERMANENT DISABILITY, OR DEATH. Risks include, without limitation: slips, trips, or falls, including on wet or uneven surfaces; collisions with people or equipment; being struck by gloves, bags, pads, or partners; equipment failure or misuse; improper technique; overexertion, dehydration, or fatigue; muscle, tendon, or ligament injuries; fractures or dislocations; eye, ear, dental, or facial injuries; concussions and other traumatic brain injuries; potential long-term neurological effects; cardiac or respiratory events; aggravation of pre-existing conditions; and hazards arising from the actions or negligence of other participants. PROTECTIVE HEADGEAR AND MOUTHGUARDS MAY REDUCE BUT DO NOT ELIMINATE THE RISK OF HEAD, BRAIN, FACIAL, OR DENTAL INJURY. These risks exist even with proper supervision and equipment.

Assumption of Risk
I KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS OF PARTICIPATION, INCLUDING RISKS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES AND OF OTHER PARTICIPANTS, TO THE FULLEST EXTENT ALLOWED BY OREGON LAW. I understand these activities involve inherent risks that cannot be eliminated without fundamentally altering the nature of the activities.

Release of Liability and Covenant Not to Sue
To the fullest extent allowed by Oregon law, I release and forever discharge the Released Parties from any and all claims, demands, liabilities, damages, or causes of action that I have or may have in the future arising from my participation, presence, or use of facilities, including claims based on ordinary negligence. This release does not cover gross negligence, recklessness, or intentional misconduct where a release would be void under Oregon law. I agree not to sue the Released Parties for any matter that I have released.

Indemnification
I agree to defend, indemnify, and hold harmless the Released Parties from any claim, demand, loss, liability, damage, or expense, including reasonable attorneys’ fees, arising out of my acts or omissions, my breach of this agreement, my participation, or any third-party claims related to my conduct, including if I injure another participant or damage property.

Medical Authorization, Incidents, and Emergencies
I authorize the Released Parties to provide or arrange first aid, medical treatment, or emergency transport if needed. I am responsible for all related costs. I agree to immediately stop activity and report any symptoms of injury, illness, or overexertion, and to promptly report any accident, injury, or unsafe condition and complete an incident report before leaving the premises when reasonably possible. I will reasonably cooperate with any safety review.

Concussion, Head Injury, and Contact Activities
I UNDERSTAND THAT BLOWS TO THE HEAD, NECK, OR BODY MAY CAUSE CONCUSSION OR OTHER BRAIN INJURY, POTENTIALLY WITH LONG-TERM EFFECTS. I will immediately report symptoms such as headache, confusion, dizziness, balance problems, nausea, vomiting, vision or hearing changes, sensitivity to light or noise, memory issues, or mood changes. If concussion is suspected, I will not participate in any contact activity until cleared in writing by a qualified healthcare provider. Contact activities, including sparring, require prior coach approval, appropriate skill-level pairing, and full protective gear. Coaches may stop any activity at any time for safety.

Communicable Diseases
Participation may expose me to communicable diseases, including COVID-19 and influenza. I ASSUME THESE RISKS AND AGREE TO FOLLOW ALL POSTED HEALTH AND SAFETY RULES, INCLUDING ANY MASKING OR VACCINATION REQUIREMENTS THAT MAY BE IN EFFECT. I will not attend if I am ill, symptomatic, or under isolation or quarantine guidance.

Facility and Equipment Use
I will inspect equipment before use and report defects or hazards immediately. I will not participate while under the influence of alcohol, drugs, or performance-enhancing substances. Unsafe, disruptive, or rule-violating behavior may result in immediate suspension or termination of access without refund. The Released Parties may deny or revoke participation at any time for safety.

Personal Property
I am solely responsible for my belongings. The Released Parties are not liable for loss, theft, or damage to personal property.

Media and Privacy Notice
Photos, videos, or recordings may occur in the gym for security, training, or promotional purposes. If I do not consent to promotional use of my likeness, I will notify the front desk in writing before participating and avoid designated filming areas. I will not film or record others without their consent. Media collected will be handled per Knockout Boxing Club’s privacy policy, available on request.

Minors
Participants under 18 must have a parent or legal guardian accept this agreement. The parent or guardian represents that they have legal authority, assumes all risks and obligations on their own behalf and to the maximum extent allowed by law on the minor’s behalf, agrees to supervise the minor as required by staff, and agrees to indemnify the Released Parties for claims arising from the minor’s acts. Minimum age for any contact activity is 14 unless specifically approved by staff, with full protective gear and separate written parental consent. Nothing in this agreement is intended to waive a minor’s own claims where such a waiver is not permitted by law.

Memberships, Bookings, and Fees
I agree to the posted membership, booking, cancellation, freeze, late-cancel, and no-show policies associated with my plan, which are incorporated by reference. All charges and fees are due as posted at purchase. No refunds for violations of this agreement.

Dispute Resolution, Venue, and Law
This agreement is governed by Oregon law. For any court proceeding permitted by this agreement, including small claims matters, requests for temporary injunctive relief, or actions to enforce, confirm, or vacate an arbitration award, exclusive venue and jurisdiction lie in the state courts of Washington County, Oregon, or the United States District Court for the District of Oregon, Portland Division.

Binding Arbitration
Any dispute arising out of my participation or this agreement will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with the hearing in Washington County, Oregon. Knockout Boxing Club will pay the consumer arbitration filing fees required by those Rules; if the consumer portion of required fees would otherwise exceed the amount permitted by the Rules, Knockout Boxing Club will pay the difference. Either party may bring an individual claim in small claims court. The arbitrator may award any relief available in court. Class, collective, or representative proceedings are not allowed. If a court finds the class, collective, or representative waiver unenforceable for a particular claim, the arbitration agreement will not apply to that claim.

Severability, Survival, Entire Agreement, and Updates
If any provision is held invalid or unenforceable, it will be modified to the narrowest extent necessary to be enforceable, and the remainder will continue in effect. Provisions relating to assumption of risk, release, indemnification, dispute resolution, and venue survive the end of my participation. This is the entire agreement on its subject and supersedes prior statements or representations. Knockout Boxing Club may update this agreement on at least 30 days’ notice by email, app notice, or posted signage. Continued participation after the effective date constitutes acceptance; you may terminate your membership to opt out. Material changes are not retroactive.

ACKNOWLEDGMENT
By tapping "Agree and Continue" or signing or submitting the form, or using the club services, I confirm that I have read, understand, and voluntarily accept this entire agreement, including the ASSUMPTION OF RISK, RELEASE OF LIABILITY, and INDEMNIFICATION, for myself and/or the minor participant. I accept these terms knowingly and without duress and acknowledge that I had an opportunity to review them and ask questions.
